According to the Complaint, the Company made false and misleading statements to the market. Arqit's encryption technology would only be effective with the widespread adoption of new standards for telecommunication and the development of new protocols. The British government only provided grants to the Company, it was not a customer. At the time of the Merger, the Company only had an early prototype of its technology. Based on these facts, the Company's public statements were false and materially misleading throughout the class period. When the market learned the truth about Arqit, investors suffered damages.
