Nuwellis (NASDAQ:NUWE) has entered into a definitive securities purchase agreement with certain institutional investors for the purchase and sale of ~0.47M shares of the Co.'s common stock at a price of $4.24/share in a registered direct offering priced at-the-market.
In addition, in a concurrent private placement, the Co. will issue to the investors warrants to purchase up to ~0.94M shares of common stock.
The warrants have an exercise price of $3.99/share, will be exercisable immediately following the date of issuance and will have a term of five years from the date of issuance.
The gross proceeds are expected to be ~$2M, and intends to use the net proceeds from the offering for working capital and for general corporate purposes.
The closing of the registered direct offering and the concurrent private placement is expected to occur on or about July 25, 2024.
